Terms and Conditions

Welcome to Fluencio AI. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fluencio AI ("we," "us," or "our") governing your access to and use of the Fluencio AI application and services (collectively, the "Service").

By downloading, installing, registering for, or using Fluencio AI on any platform — including our website (fluencio.ai), Android application (via Google Play Store), or iOS application (via Apple App Store) — you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

To use Fluencio AI, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)

• Have the legal capacity to enter into a binding agreement

• Not be prohibited from using the Service under applicable laws

• Provide accurate and complete information during registration

If you are between 13 and 18 years old (or the applicable age of majority in your jurisdiction), you must have your parent or legal guardian's permission to use the Service. By using the Service, you represent that you meet these eligibility requirements.

To access most features of Fluencio AI, you must create an account. You agree to:

• Provide accurate, current, and complete registration information

• Maintain and promptly update your account information

• Keep your password confidential and secure

• Not share your account credentials with any third party

• Notify us immediately at [email protected] of any unauthorized use of your account

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being misused, or violate these Terms.

Fluencio AI is an AI-powered language learning platform that provides:

• Interactive language lessons and exercises

• AI-powered conversation practice and dialogue

• Pronunciation and speaking exercises using voice recognition

• Grammar, vocabulary, and comprehension training

• Progress tracking and personalized learning paths

• Subscription-based access to premium content and features

The Service is available via web browser, Android app, and iOS app. Features may vary across platforms. We reserve the right to modify, add, or remove features at any time with or without notice.

5.1 Free and Premium Plans

Fluencio AI may offer both a free tier with limited features and one or more paid subscription plans with full access. The features available under each plan will be described in the app and on our website.

5.2 Subscription Billing

• Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase

• Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date

• Prices are displayed in your local currency where possible and are inclusive or exclusive of applicable taxes as required by law

• We reserve the right to change subscription prices with at least 30 days' notice

5.3 Platform Billing

• iOS: Subscriptions purchased via the App Store are billed through your Apple ID and governed by Apple's payment terms. Manage or cancel via iOS Settings > Apple ID > Subscriptions

• Android: Subscriptions purchased via Google Play are billed through your Google account and governed by Google's payment terms. Manage or cancel via Google Play > Subscriptions

• Web: Subscriptions purchased on our website are processed by our payment provider (e.g., Stripe). Manage via your account settings at fluencio.ai

5.4 Cancellation

• You may cancel your subscription at any time before the next renewal date

• Cancellation takes effect at the end of the current billing period — you retain access to premium features until then

• Cancellation does not entitle you to a refund of any already-charged subscription fees except as required by applicable law or our refund policy below

5.5 Refunds

• iOS purchases: Refunds are handled by Apple in accordance with Apple's refund policy

• Android purchases: Refunds are handled by Google in accordance with Google Play's refund policy

• Web purchases: We offer a 7-day refund for annual subscriptions if requested within 7 days of the initial purchase and you have not significantly used the Service. Contact [email protected]

• We reserve the right to deny refund requests that we believe are fraudulent or abusive

We may offer free trial periods for premium subscriptions. The following conditions apply:

• Only one free trial per user per subscription type

• You may be required to provide payment details to start a free trial

• Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged

• We reserve the right to modify or withdraw free trial offers at any time

You agree to use Fluencio AI only for lawful purposes and in accordance with these Terms. You must NOT:

• Use the Service for any illegal, harmful, or fraudulent purpose

• Attempt to reverse engineer, decompile, or disassemble any part of the Service

• Use automated tools, bots, scrapers, or scripts to access or extract data from the Service

• Create multiple accounts to abuse free trial offers or circumvent restrictions

• Share your account or subscription access with others (unless explicitly permitted)

• Upload, transmit, or share any content that is abusive, defamatory, obscene, or infringes third-party rights

• Attempt to gain unauthorized access to any part of the Service or its infrastructure

• Interfere with or disrupt the integrity or performance of the Service

• Use the Service to train, fine-tune, or develop competing AI or machine learning models

• Misrepresent your identity or impersonate any person or entity

Violation of this policy may result in immediate account suspension or termination without refund.

Fluencio AI uses artificial intelligence to generate lessons, conversations, feedback, and other learning content. You acknowledge that:

• AI-generated content may not always be 100% accurate, complete, or suitable for all learners

• Language feedback and corrections provided by the AI are for educational purposes and should not be relied upon as professional linguistic advice

• We continuously work to improve AI accuracy, but do not guarantee error-free output

• You should use your own judgment when relying on AI-generated translations or grammar explanations

We are not liable for any decisions made based on AI-generated content within the Service.

Some features of the Service may allow you to submit content such as voice recordings during pronunciation exercises, text in chat or conversation features, or feedback and reviews. Regarding your content:

• You retain ownership of any content you create or submit

• By submitting content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store that content solely to provide and improve the Service

• You represent that your content does not violate any third-party rights or applicable laws

• We may remove content that violates these Terms or applicable law

We do not claim ownership of your user-generated content.

All content, features, and functionality of Fluencio AI — including but not limited to text, graphics, logos, icons, audio clips, software, and AI models — are owned by Fluencio AI or our licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial language learning purposes.

You may not copy, modify, distribute, sell, sublicense, or create derivative works from any part of the Service without our explicit written permission.

Fluencio AI integrates with or links to third-party services including Google Sign-In, Apple Sign-In, OpenAI, and payment processors. These services are governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

Your use of third-party services connected to Fluencio AI is at your own risk. We encourage you to review the terms and privacy policies of all third-party services you use.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FLUENCIO AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

• Warranties that the Service will be uninterrupted, error-free, or free of viruses or harmful components

• Warranties regarding the accuracy, reliability, or completeness of any AI-generated content

• Warranties that the Service will meet your specific learning goals or requirements

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLUENCIO AI AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, data, goodwill, or other intangible losses

• Damages resulting from your use of or inability to use the Service

• Damages resulting from unauthorized access to your account or personal data

In jurisdictions that do not allow the exclusion or limitation of liability, our liability shall be limited to the maximum extent permitted by law. In no event shall our total aggregate liability exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Fluencio AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the Service

• Your violation of these Terms

• Your violation of any applicable law or third-party rights

• Any content you submit through the Service

These Terms remain in effect while you use the Service. We may suspend or terminate your access immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease

• You will not receive a refund for any remaining subscription period unless required by law

• We may delete your account data in accordance with our Privacy Policy and data retention schedule

You may terminate your account at any time by contacting [email protected] or using the account deletion feature within the app.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in India.

For users in the European Union: Nothing in these Terms affects your rights as a consumer under applicable EU law, including the right to bring claims in your country of residence.

For users in the United States: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

17.1 Apple App Store

If you downloaded Fluencio AI from the Apple App Store, you acknowledge:

• These Terms are between you and Fluencio AI, not Apple. Apple is not responsible for the Service or its content

• Apple has no obligation to provide maintenance or support for the Service

• Apple is not responsible for any product liability claims, consumer protection claims, or intellectual property infringement claims relating to the Service

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you

• You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government prohibited parties list

17.2 Google Play Store

If you downloaded Fluencio AI from the Google Play Store, you acknowledge:

• These Terms are between you and Fluencio AI, not Google. Google is not responsible for the Service

• Google has no obligation to provide support for the Service

• Google is not responsible for any claims relating to the Service including product liability, consumer protection, or intellectual property claims

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the Effective Date at the top of this document

• Notify registered users via email or in-app notification

• Post the updated Terms at fluencio.ai/terms

Your continued use of the Service after the updated Terms take effect constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fluencio AI regarding the Service

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect

• Waiver: Our failure to enforce any right or provision shall not be considered a waiver of that right

• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction

• Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control

• Language: These Terms are written in English. Any translations are provided for convenience only; the English version prevails in case of conflict
